www.ppmutilities.co.za (“Site”) CAREFULLY. BY USING THE PPM WEB AND MOBI SITE AND MOBILE APPLICATION, YOU AGREE TO THESE TERMS AND CONDITIONS.   

These terms and conditions of use may be changed in the future without prior notice.  This website is owned and operated by PPM Utility Management Solutions, trading as trading as PREPAY METERING CC Registration Number: 2008/044829/23 (“PPM”).

Further, these terms and conditions apply exclusively to your access to, and use of, this website and not alter in any way the terms or conditions of any other agreement you have with PPM for products, systems, services or otherwise.   

While PPM has tried to provide accurate and timely information, there may be inadvertent technical or factual inaccuracies and typographical errors, for which we apologize. We reserve the right to make changes and corrections at any time, without notice. 

COPYRIGHT AND OTHER INTELLECTUAL PROPERTY RIGHTS   

Except as otherwise indicated, all website materials, including but not limited to design, text, graphics, other files, and the selection and arrangement thereof, are the copyright property of PPM, ALL RIGHTS RESERVED. You may electronically copy and print hardcopy excerpts of this website (and materials here) only for non-commercial personal use, or non-commercial use within the organization that employs you, provided that the materials are not modified and all copyright or proprietary notices are retained. Any other use of the materials in this website, including any commercial use, reproduction for purposes other than described above, modification, distribution, republication, display, or performance without the prior written permission of PPM and its software providers, is strictly prohibited.   

SALE OF ELECTRICITY  

PPM offers the User the option to purchase electricity, for certain types of pre-paid electricity meters, via this Site for designated areas. The designated areas will appear on the Site itself and may be expanded or reduced at the sole discretion of PPM without prior notice to the User.   

The purchase of electricity via this Site is subject to any credit limitations or payment ceilings imposed by the User’s bank, and by the limits of the User’s electricity meter. Due to fixed service fees set by the local supply authority of electricity a minimum transaction amount would be applicable.  

Although every effort is made to ensure that the User receives the purchased electricity immediately, PPM in no way warrants that the service will be completely uninterrupted and error free and that accordingly there may be a delay (time out) in the delivery of the electricity token to the User.  

PAYMENT OPTIONS/CURRENCY ACCEPTED

Payment may be made via VISA, MasterCard or Diners credit cards, and certain Debit cards as well Instant EFT. The transaction currency is in ZAR.  

SERVICE CHARGES  

Customers accepting PPM terms and conditions hereby acknowledge, and accept that there would be Forex and service fee charges for the use of this service.  

REFUND POLICY   

PPM will not process any refunds if the electricity token number has been generated or can be regenerated within 24 hours (in the case of a time out). A reprint feature is available through the mobile application interface. 

The User should contact PPM if the User’s meter will not accept the token but the meter number is correct.  

Due to the consumable nature of electricity, should the User purchase electricity in error or in excess of the User’s requirements, PPM shall be under no obligation to refund the User or to reverse the transaction.  

In the case where an electricity token number is not delivered within the 24 hour time frame and the User notifies PPM in writing at queries@ppmutilities.co.za within 24 hours of the 24 hour time frame expiring, then PPM will initiate a refund process.  

USER ACCOUNTABILITY/ RESPONSIBILITY   

The User is responsible for all use of the Site made by the User or anyone else using the User’s password and for preventing unauthorized use of the User’s password. If the User believes there has been any breach of security such as the disclosure, theft or unauthorised use of the User’s Password or any payment information, the User must notify PPM immediately. PPM recommends that the User does not select an obvious user password (such as the User’s name) and that the User changes it regularly.   

SECURITY AND PRIVACY   

User information is kept strictly confidential and is secured by a variety of security measures that are reasonable taking into account the nature of service offered on this Site.   

The PPM web site is secured using a Digital Certificate. This verifies the site’s identity. It ensures that all information sent to us via the World Wide Web will be encrypted using proven mechanisms (https), and so cannot be intercepted by a third party. This is indicated by a closed lock icon in the browser window, and a web address that starts with https://.   

For secure Credit Card payments we use the DPO Group plugin. The DPO payments service is PCI DSS Level 1 certified and included with the latest fraud prevention and risk management features. Credit card details are treated as highly confidential with the highest security and no credit card details are stored on the website.   

For User security, we recommend the User keep their login name and password secret. If a password may have been compromised, the User should log in and change it. After recovering a lost password by any method, we recommend that the User change their password.   

User details will not be given out to any third party, except of course when they make a purchase, when credit card details and purchase amount are sent to the bank, and the meter number and purchase amount to the Service Provider.

PPM makes no claim or representation regarding, and accepts no responsibility for, the quality, content, nature or reliability of websites accessible by hyperlink from this website, or websites linking to this website.   

WEBSITE DISCLAIMER   

PPM SHALL DEVELOP AND OPERATE THE SITE WITH REASONABLE  SKILL AND CARE AND HAS REASONABLE SECURITY PROCEDURES IN PLACE.   

Except as set out above, PPM provides no warranties with regard to the Site. PPM and it’s software suppliers shall not be liable to the User by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms of these Terms and Conditions, for any direct, indirect, special, or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of PPM, their employees or agents or otherwise) which arise out of or in connection with the Site or its Use (whether in contract, delict or otherwise).   

GOVERNING LAW   

This Site is a South African based website. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of South Africa. 

ARBITRATION   

Any dispute, controversy or claim arising out of or in relation to this agreement, including any question regarding its existence, validity or termination, shall be referred to and shall be finally resolved by arbitration under the rules of the Arbitration Foundation of South Africa (AFSA) which rules are deemed to be incorporated by reference into this clause. 

The juridical seat of arbitration shall be South Africa and The Arbitration Act 1965 shall apply to the arbitration. 

The language to be used in the arbitration shall be the English language. 

The number of arbitrators shall be one. 

The Parties agree to keep confidential all awards in their arbitration, together with all materials in the proceedings created for the purpose of the arbitration and all other documents produced by another Party in the proceedings not otherwise in the public domain, save and to the extent that disclosure may be required of a party by legal duty, to protect or pursue a legal right or to enforce or challenge an award in bona fide legal proceedings before a state court or other judicial authority.
